Chat On WhatsappThe objects stated in a company’s Memorandum of Association (MOA) hold significant importance, as they define the fundamental purpose and scope of the company’s operations. The object clause serves as a boundary, outlining the activities the company is permitted to undertake. Any action taken beyond what is specified in this clause is considered ultra vires—beyond the company's powers—and is therefore invalid. To amend the object clause in the MOA, the company must pass a special resolution and submit a copy of that resolution to the Registrar of Companies (ROC).
